Note: These terms and conditions may be modified at any time by SASU LEX GLOBO, particularly to reflect changes in applicable regulations, Platform functionalities, or service operating conditions. The applicable version is the one accessible on the Platform on the date of any use or subscription.

Article 1 — Definitions

In these Terms of Sale, the following terms have the meanings set out below:

  • Platform: means the LEX GLOBO® website, accessible at www.lexglobo.com, published and operated by SASU LEX GLOBO.
  • Lawyer: means any lawyer, natural or legal person, duly admitted to a bar association, subscribing to the Platform.
  • Client or User: means any natural or legal person accessing the Platform free of charge for the purpose of searching for a lawyer.
  • Visibility Market: means a geographic listing area on the Platform, corresponding to one of the following markets: Europe, Asia, Africa, North America, South America, Middle East.
  • All Globo Pack: means the subscription offer giving access to all Visibility Markets.
  • Forum: means the discussion area reserved for Lawyers registered on the Platform, organised by country of registration, accessible under an anonymous identifier.
  • Lawyer Profile: means the Lawyer's profile as it appears on the Platform, including their professional information, specialties, languages and contact details.

Article 2 — Purpose

These Terms of Sale govern the conditions under which SASU LEX GLOBO provides the Lawyer with a listing and matching service with potential Clients via the Platform.

The Platform is a technical intermediary connecting Users and Lawyers. It does not provide any legal services and does not intervene in any way in the relationship between the Lawyer and the Client.

Article 3 — Acceptance of the Terms of Sale

Subscription to the Platform constitutes full and unconditional acceptance of these Terms of Sale. The Lawyer acknowledges having read and accepted them prior to any subscription.

The applicable Terms of Sale are those in force on the date of subscription or renewal.

Article 4 — Registration and verification

4.1 — Registration conditions

Registration on the Platform is reserved to lawyers duly admitted to a bar association. The Lawyer undertakes to provide accurate, complete and up-to-date information at registration and throughout the duration of their subscription.

4.2 — Documentary verification

Activation of the Lawyer Profile is subject to a prior documentary verification carried out by LEX GLOBO. The Lawyer provides for this purpose any supporting document of their bar admission (admission certificate, professional card or any equivalent document).

LEX GLOBO reserves the right to contact the Lawyer's home bar association to carry out any additional verification.

The documentary verification does not in any way constitute a guarantee by LEX GLOBO of the competence, quality or ethical compliance of the Lawyer's services. The Lawyer remains solely responsible for their professional acts.

The Lawyer remains subject to the discipline of their home bar association under the laws in force in their country and the applicable rules of professional conduct.

4.3 — Personal account

The Lawyer's account is strictly personal and non-transferable. It may not be assigned, lent, or made available to a third party, even another lawyer, for any reason whatsoever.

Article 5 — Description of services

5.1 — Visibility Markets

At registration, the Lawyer chooses one or more Visibility Markets among the following geographic areas: Europe, Asia, Africa, North America, South America, Middle East.

The Lawyer may also subscribe to the All Globo Pack, giving access to all Visibility Markets.

The subscription to one or more Visibility Markets allows the Lawyer to be listed on the Platform and visible to Clients searching for a lawyer in the corresponding geographic area.

5.2 — Inter-lawyer Forum

Any Lawyer with an active subscription benefits from access to the Forum reserved for lawyers of their country of registration. Access to the Forum takes place under an anonymous identifier.

The Lawyer is solely responsible for the content they post on the Forum. They undertake to strictly respect professional secrecy and all the rules of professional conduct applicable to their profession.

In accordance with article 6 of Regulation (EU) 2022/2065 (DSA), LEX GLOBO, in its capacity as host of the Forum, benefits from an exemption from liability for the content posted by Lawyers, provided that it had no actual knowledge of the illegal nature of the content or that, upon obtaining such knowledge, it acted promptly to remove the said content or block access to it. As soon as LEX GLOBO has actual knowledge of manifestly illegal content posted on the Forum, it removes such content as soon as possible.

5.3 — Best-efforts obligation

LEX GLOBO provides its services on a best-efforts basis. It does not guarantee any number of matches, Lawyer Profile views or results in terms of client acquisition.

5.4 — Non-exclusivity

Registration on the Platform does not confer any exclusivity on the Lawyer. The Lawyer remains free to register on other platforms, directories or matching services of their choice.

Article 6 — Pricing

6.1 — Price list and VAT regime

The subscription prices are as follows:

  • Subscription to a Visibility Market: €400 excl. VAT / month per market.
  • All Globo Pack (6 markets): €2,200 excl. VAT / month.

Prices are exclusive of taxes. The applicable VAT regime is determined in accordance with the territoriality rules for B2B services:

  • Lawyers established in France: French VAT at the rate in force is invoiced in addition by LEX GLOBO;
  • Lawyers established in another EU Member State: in accordance with article 44 of Directive 2006/112/EC and article 259 of the French General Tax Code, the service is located in the Member State of establishment of the recipient. The reverse-charge mechanism applies; LEX GLOBO does not apply any French VAT. The Lawyer is solely responsible for declaring and paying the VAT due in their Member State;
  • Lawyers established outside the EU: in accordance with the territoriality rules applicable to B2B services, no French VAT applies.

Subscriptions are cumulative: the Lawyer may subscribe to one or more Visibility Markets of their choice.

6.2 — Price changes

LEX GLOBO reserves the right to change its prices at any time. Any price change will be notified to the Lawyer by email at least one (1) month before it takes effect.

Failing notification of termination before the effective date of the new price, the Lawyer shall be deemed to have accepted the price change.

Article 7 — Payment terms

7.1 — Means of payment and direct debit

Payment of the subscription is made by credit card or SEPA direct debit, at the Lawyer's choice. The debit is automatic and is made each month on the anniversary date of the subscription.

The Lawyer authorises LEX GLOBO to automatically debit the amount of the subscription according to the periodicity and terms chosen at registration.

7.2 — Invoicing

An invoice is issued monthly by LEX GLOBO and sent to the Lawyer electronically to the email address provided at registration.

7.3 — Failed direct debit

In the event of a failed automatic debit (expired card, bank rejection, insufficient funds or any other cause), the Lawyer is informed by email and has fifteen (15) days to regularise the situation by updating their payment information.

Failing rectification within this period, LEX GLOBO reserves the right to immediately suspend the visibility of the Lawyer Profile on the Platform.

Any late payment shall automatically, and without the need for any formal notice, give rise to the application of late payment penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by ten (10) percentage points, as well as a fixed indemnity of forty (40) euros per unpaid invoice for recovery costs. These penalties are payable as of right by the mere fact of the expiry of the term.

Article 8 — Duration and termination

8.1 — Duration

The subscription is taken out for a duration of one (1) month, renewable by tacit reconduction, with no commitment of duration.

8.2 — Termination by the Lawyer

The Lawyer may terminate their subscription at any time, without giving reasons, from their personal area on the Platform or by email sent to LEX GLOBO.

Termination takes effect at the end of the current month. The month started remains due in full and gives rise to no refund.

8.3 — Termination by LEX GLOBO

a) Termination for remediable breach

In the event of a breach by the Lawyer of one of their obligations under these Terms of Sale, that can be remedied, LEX GLOBO will send the Lawyer a formal notice by email specifying the nature of the breach and inviting them to remedy it within fifteen (15) days.

Failing rectification within this period, LEX GLOBO may terminate the subscription as of right, without compensation, by electronic notification.

The following are in particular considered remediable breaches: providing incomplete or outdated information on the Lawyer Profile, an unrectified failed direct debit.

b) Immediate termination for serious misconduct

LEX GLOBO may terminate the Lawyer's subscription and remove their Lawyer Profile without notice or compensation, by simple electronic notification, in the following cases:

  • provision of knowingly inaccurate or misleading information;
  • breach of professional secrecy, in particular on the Forum;
  • any serious breach of the rules of professional conduct applicable to the Lawyer under the laws in force at their bar association;
  • removal or suspension of the Lawyer's bar admission;
  • any conduct seriously affecting the image or operation of the Platform.

Article 9 — Lawyer obligations

The Lawyer undertakes to:

  • provide accurate, complete and up-to-date information on their Lawyer Profile and keep it updated throughout the duration of their subscription;
  • comply with all the rules of professional conduct and discipline applicable to their profession under the laws in force in their country of registration;
  • strictly respect professional secrecy, in particular when using the Forum;
  • assume full responsibility for their legal services provided to Clients, LEX GLOBO not being in any way a party to the Lawyer-Client relationship;
  • not use the Platform for purposes contrary to public order, morality or applicable laws and regulations.

The Lawyer remains in all circumstances subject to the discipline of their bar of registration.

Article 10 — Liability

10.1 — LEX GLOBO's liability

LEX GLOBO acts as a technical intermediary connecting Users and Lawyers. It does not intervene in the choice of Lawyer by the Client, nor in the performance of legal services. LEX GLOBO disclaims all liability for the services provided by the Lawyer.

LEX GLOBO does not guarantee the availability of listed Lawyers in all the countries or territories covered by the Visibility Markets. The presence of Lawyers on the Platform in a given country or geographic area depends solely on their voluntary registration. LEX GLOBO cannot be held liable for the absence of listed Lawyers in a given country or territory at the time of subscription or during the subscription.

LEX GLOBO cannot be held liable for indirect damages, such as loss of clientele, loss of turnover, loss of opportunity or damage to reputation.

10.2 — Limitation of liability

In the event of unavailability of the Platform exceeding seven (7) consecutive days, LEX GLOBO's liability is strictly limited to the refund of one (1) month of subscription. Outside this case, no compensation may be claimed from LEX GLOBO.

10.3 — Lawyer's liability

The Lawyer is solely responsible for all their professional acts, the quality of their services, the compliance of their practice with the rules of professional conduct, and the content posted on their Lawyer Profile and on the Forum.

The Lawyer indemnifies LEX GLOBO against any claim, action or third-party recourse resulting from their services or from the content they post on the Platform.

Article 11 — Intellectual property

11.1 — LEX GLOBO's rights

The LEX GLOBO® trademark, the logo, the design of the Platform, the 3D globe, the texts, the architecture and all the visual and functional elements of the Platform are the exclusive property of SASU LEX GLOBO. Any reproduction, representation or use, in whole or in part, without prior written authorisation, is prohibited.

11.2 — Licence granted by the Lawyer

By registering on the Platform, the Lawyer grants LEX GLOBO a non-exclusive, worldwide and free licence to use the information appearing on their Lawyer Profile (name, photograph, specialties, languages, contact details) for the sole purposes of listing and matching on the Platform.

Any use of the elements of the Lawyer Profile for the purposes of promotion or commercial communication of LEX GLOBO outside the Platform (social networks, advertising materials, partnerships) is subject to the prior written consent of the Lawyer concerned, who may revoke it at any time.

This licence ends upon removal of the Lawyer Profile.

Article 12 — Availability of the Platform

LEX GLOBO undertakes to use the means necessary for the proper functioning of the Platform. However, LEX GLOBO does not guarantee uninterrupted access to the Platform and cannot be held liable for interruptions due to:

  • preventive or corrective maintenance operations;
  • cases of force majeure within the meaning of article 1218 of the French Civil Code;
  • malfunctions attributable to third parties (host, internet service provider).

Article 13 — Personal data

LEX GLOBO collects and processes the Lawyer's personal data in accordance with Regulation (EU) 2016/679 (GDPR) and French law no. 78-17 of 6 January 1978 as amended.

The terms of collection, processing and protection of personal data are described in LEX GLOBO's Privacy Policy, accessible on the Platform and constituting a separate regulatory information document.

Article 14 — Fate of data upon termination

In the event of termination of the subscription, for any reason whatsoever, the Lawyer Profile is deactivated on the effective date of termination and is no longer visible on the Platform.

The Lawyer's personal data is retained and deleted in accordance with the periods set out in LEX GLOBO's Privacy Policy, accessible on the Platform. As an indication, billing data is kept for ten (10) years in accordance with legal accounting and tax obligations; other data is deleted or anonymised at the end of the applicable legal periods.

The Lawyer may request the export of their data prior to termination by sending a request to [email protected].

Article 15 — Promotional offers

LEX GLOBO reserves the right to offer promotional offers or free trial periods, the specific conditions of which will be specified at the time of their introduction. These offers do not commit LEX GLOBO to maintain or renew them.

Article 16 — Notifications

All communications from LEX GLOBO to the Lawyer (price changes, amendments to the Terms of Sale, formal notices, suspension or termination notifications) are sent by email to the email address provided by the Lawyer at registration.

The Lawyer is responsible for keeping their email address up to date. Any notification sent to the last address communicated is deemed to have been validly delivered.

Article 17 — Modification of the Terms of Sale

LEX GLOBO reserves the right to modify these Terms of Sale at any time. Any modification will be notified to the Lawyer by email at least thirty (30) days before its entry into force.

Maintaining the subscription after the entry into force of the new Terms of Sale constitutes acceptance thereof. Failing acceptance, the Lawyer may terminate their subscription under the conditions set out in article 8.2.

Article 18 — Evidence agreement

The parties agree that the computer records kept in LEX GLOBO's information systems (connection logs, time-stamping of acceptances, transaction history, payment data, electronic exchanges) shall have probative value between them and constitute admissible, valid and enforceable evidence in the same way as a handwritten signed document.

Article 19 — Independence of the parties

These Terms of Sale do not create between LEX GLOBO and the Lawyer any relationship of subordination, association, agency or partnership. Each party acts in its own name and on its own behalf. Each Lawyer registered on the Platform carries out their activity in a fully independent manner.

Article 20 — Severability

If any of the provisions of these Terms of Sale is declared null or unenforceable by a court decision that has become final, the other provisions shall remain in force and shall retain their full binding force.

Article 21 — Entire agreement

These Terms of Sale, the Privacy Policy and, where applicable, the special conditions applicable to promotional offers, constitute the entire agreement between LEX GLOBO and the Lawyer. They cancel and replace any prior agreement, negotiation or exchange, written or oral, on the same subject.

Article 22 — Language – Currency – International means of payment

These Terms of Sale are drafted in French. In case of translation, only the French version shall prevail.

Prices are expressed in euros (€). For Lawyers established outside the euro zone, the conversion is carried out at the exchange rate applicable on the day of debit by the payment service provider.

In addition to the means of payment provided for in article 7.1, LEX GLOBO may offer additional means of payment suitable for Lawyers established outside the SEPA area. The means of payment available are specified at the time of subscription.

Article 23 — Applicable law – Amicable settlement – Jurisdiction

These Terms of Sale are governed by French law.

In the event of a dispute relating to the interpretation, performance or termination of these Terms, the parties undertake to seek an amicable solution for a period of thirty (30) days from the notification of the dispute by one party to the other by email with acknowledgement of receipt.

Failing an amicable resolution within this period, the dispute will be submitted to the competent courts of the jurisdiction of LEX GLOBO's registered office, in accordance with the applicable rules of territorial jurisdiction.

Adherence to these Terms of Sale by way of subscription constitutes the express and irrevocable recognition by the Lawyer of the jurisdiction of the French courts for any dispute relating to the interpretation, performance or termination of these Terms, regardless of the country of establishment or residence of the Lawyer.

The Lawyer acknowledges subscribing to these Terms of Sale on a strictly professional basis, in the context of their independent activity.
